1.Agreement to Terms
These Terms & Conditions ("Terms") govern your use of www.zaynorix.com and the services of Zaynorix IT Solutions LLC ("Zaynorix", "we", "us"), a company licensed by the Department of Economy & Tourism, Dubai (Trade Licence No. 1043928, TRN 100123456700003). By using our website or services you agree to these Terms.
2.Our Services
Zaynorix provides remote staffing, dedicated professional placement, and IT solution services across 75+ specialist roles. Specific engagements are governed by individual service agreements or statements of work, which prevail over these Terms in case of conflict.
3.Engagement & Payment
- Fees, billing cycles, and payment terms are defined in each service agreement.
- Invoices are payable by the due date stated; late payments may pause services.
- Unless stated otherwise, fees are exclusive of applicable taxes such as UAE VAT.
4.Client Responsibilities
- Provide accurate requirements, timely feedback, and reasonable access to tools needed for the work.
- Use placed professionals in a lawful, respectful manner consistent with the agreed scope.
- Not directly hire a Zaynorix-placed professional outside the agreement without our written consent.
5.Confidentiality & Data
Both parties agree to keep confidential information secret and use it only for the engagement. Our professionals work under NDA, and personal data is handled according to our Privacy Policy.
6.Intellectual Property
Upon full payment, work product created specifically for a client under an engagement is assigned to that client, except for pre-existing materials, tools, and know-how of Zaynorix, which remain ours (with a licence to use them as embedded in deliverables).
7.Replacement & Service Quality
If a placed professional does not meet the agreed standard, we will work with you in good faith to remedy the issue, including replacement where covered by your service agreement.
8.Warranties & Disclaimers
Services are provided with reasonable skill and care. Except as expressly stated, the website and services are provided "as is" without warranties of any kind, and we do not guarantee uninterrupted or error-free operation of the website.
9.Limitation of Liability
To the maximum extent permitted by law, Zaynorix's total liability arising out of any engagement is limited to the fees paid for the services giving rise to the claim in the preceding three (3) months, and we are not liable for indirect or consequential losses.
10.Term & Termination
Either party may terminate an engagement per the notice period in the applicable service agreement. Accrued fees remain payable, and clauses on confidentiality, IP, and liability survive termination.
11.Website Use
- Do not misuse the website, attempt unauthorised access, or scrape content.
- All website content, branding, and design are the property of Zaynorix IT Solutions LLC.
12.Third-Party Links
Our website may link to third-party sites. We are not responsible for their content or practices.
13.Governing Law
These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the courts of Dubai.
